Grupa Kęty (Aluprof) plans to acquire Italian aluminium giant METRA

Polish company Grupa Kęty S.A. has signed a conditional agreement to acquire 100% of the shares in Fengari Holdings I B.V. The company owns METRA Group, a vertically integrated manufacturer of aluminium profiles and provider of aluminium processing services. Grupa Kęty announced the transaction.

The agreement was concluded with Fengari Holdings Coöperatief U.A. This entity is controlled by affiliates of the US investment fund KPS Capital Partners, LP. The acquisition of METRA represents one of the key stages in Grupa Kęty’s development strategy. The company aims to build one of the leading international groups in the aluminium sector.

METRA operates nine production sites in Italy, the United States and Canada, employing nearly 1,400 people. The group’s production capacity for aluminium profile extrusion, a process in which metal is forced under pressure through a shaped die opening, amounts to approximately 145,000 tonnes per year. Europe accounts for around 35% of this volume.

METRA manufactures aluminium profiles, including products for the railway industry and architectural systems. The company also provides high-value-added services, including coating, anodising, machining and welding. METRA’s revenue in 2026 is estimated at around €600 million.

The acquisition of METRA is in line with Grupa Kęty’s long-term strategy. The company plans to develop an international structure with strong positions in Europe and in the construction and industrial sectors. The transaction also opens the way for further expansion in North America. METRA generates more than 45% of its revenue in this region.

Grupa Kęty’s management expects the transaction to deliver several strategic benefits. The company plans to strengthen its position in the European market and gain access to specialised expertise in high-margin segments. The transaction will open up new distribution channels in the Italian market. Grupa Kęty also plans to leverage METRA’s international position in the architectural market and expand the scale of its operations in North America. The company expects the acquisition to support expansion in architectural systems and façade products, increase the geographical diversification of its business and reduce risks, including those related to customs duties and regulation. In addition, management expects new opportunities for synergies in technology, procurement, sales and cross-selling.

The acquisition price was determined on the basis of METRA’s enterprise value of €645 million. This amount takes into account bank debt and other debt obligations as at 31 March 2026.

Completion of the transaction is subject to customary conditions, including obtaining the necessary competition and regulatory approvals. Grupa Kęty plans to finance the transaction using bank loans and its own funds. On 14 September 2026, the company entered into a term loan agreement with Bank Polska Kasa Opieki S.A. for a maximum amount of PLN 2 billion.

Today, Grupa Kęty is a holding company comprising three main segments. Each operates under its own company and brand: Grupa Kęty, Aluprof and Alupol Packaging.

Earlier, the European Commission approved the acquisition of the UK’s NSG Group by investment fund Apollo Funds, a transaction in the related glass products segment.
